Thank you for using UCX (“The Belknap White Group, LLC” “J.J. Haines and Company, LLC,” “Swiff-Train Company, LLC,” “we,” “our,” or “us”) and its affiliated companies’ online website (“website,” “site,” “web pages”) and services.

By using this website, you agree to the following terms and conditions.  Please read this document carefully, as continuing use of this website and services is an agreement between you and UCX. This terms and conditions document pertains to www.UCX.com as well as other websites and services that it is attached to.  Additionally, it will be used to supplement other agreements and terms on these webpages, such as the Privacy Policy and disclaimer text. Clarity as to how we use your information is important to UCX. As such, the information we collect, and its uses are outlined in our Privacy Policy.  Please refer to that document regarding this information.  If you do not understand items in any of these texts, or do not agree, you should discontinue use of the site immediately.

UCX, LLC maintains this site (the "Site") for your personal information, education and communication. Please feel free to browse through the Site. You may download material displayed on the Site for your personal, non-commercial use only, provided you also retain all copyright and other proprietary notices contained on the material. You may not, however, distribute, reproduce, modify, transmit, reuse, report, or use the content of the Site for public or commercial purposes, including the text, images, audio, and video without UCX express, prior written permission. Your access to and use of the Site is also subject to the following terms and conditions ("Terms and Conditions") and all applicable laws.

User Conduct

When using the website, or other UCX online services or, accessing its content, you agree to the following:

  1. You agree not to inhibit the use of the website, servers, or networks connected to the UCX sites, nor disobey any requirements, procedures, policies or regulations of networks connected to UCX’s website.
  2. You agree not to duplicate or copy any portion of the website.
  3. You agree not to sell, resell, or exploit any portion of the websites, access to the website, or use of the website for commercial purposes.
  4. You agree not to use the website in such a way that would constitute a criminal offense or create a civil liability.

You agree not to impersonate a person, group, or entity, including but not limited to,UCX or a UCX employee. You agree not to falsely state or misrepresent your affiliation with any person or entity.

You agree not to violate the legal rights (including the rights of publicity and privacy) of others or post any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these terms and conditions and our Privacy Policy.

UCX neither warrants nor represents that your use of materials displayed on the Site will not infringe rights of third parties not owned by or affiliated with UCX.
  1. While UCX uses reasonable efforts to include accurate and up to date information on the Site, UCX makes no warranties or representations as to its accuracy. UCX assumes no liability or responsibility for any errors or omissions in the content of this Site.

You agree to indemnify, defend and hold harmless UCX, its affiliates, officers, directors, employees, consultants and agents from any and all third-party claims, liability, damages and/or costs (including, but not limited to, attorney fees) arising from your use of our services, your violation of our Terms of Services (including, but not limited to, a breach of your warranties and representations herein), or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. The Terms of Service will inure to the benefit of UCX successors, assigns, and licensees.

As we expect our customers and suppliers to respect intellectual property rights we in turn adhere to this same policy.  If you believe your work has been copied on a UCX website in a way that infringes on copyright, please contact UCX immediately.  UCX reserves the right to remove access and remove content that infringes on the intellectual property rights of others.

As a distributor we often work with our suppliers for content such as images, text, video, and graphics, which are licensed to us. Sometimes this content can become stale and out of date.  In addition, sometimes the information is mislabeled or incorrect.  The information and content on this site is provided “As Is”.  UCX will not be held responsible for any misinterpretation of content, and makes no claim that the content is up to date or accurate.  See our warranty, disclaimer, and liability section for more information.

These Terms of Service will be governed by and construed in accordance with the laws of the State of MA, without giving effect to its conflicts of laws provision or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect.

Images of people or places displayed on the Site are either the property of, or used with permission by, UCX. The use of these images by you, or anyone else authorized by you, is prohibited unless specifically permitted by these Terms and Conditions or specific permission provided elsewhere on the Site. Any unauthorized use of the images may violate copyright laws, trademark laws, the laws of privacy and publicity and communication regulations and statutes.

The trademarks, logos and service marks (collectively the "Trademarks") displayed on the Site, including, but not limited to, the registered UCX mark and the UCX logo, are registered trademarks or trademarks of UCX. Nothing contained on the Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Site without the written permission of UCX or a third-party that may own such Trademark. Your misuse of any Trademark displayed on the Site, or any other content on the Site, except as provided in these terms and conditions, is strictly prohibited. You are also advised that UCX will aggressively enforce its intellectual property rights to the fullest extent of the law, including seeking of criminal prosecution.

UCX has not reviewed the external web sites linked to the Site and is not responsible for the content of any off-Site pages or any other web sites linked to the Site. By creating a link to a third-party web site, UCX does not endorse or recommend any products or services offered or information contained at that web site, nor is UCX liable for any failure of products or services offered or advertised at those sites. Such third-party may have a privacy policy different from that of UCX and the third-party website may provide less security than the Site.  Your use of links from the Site to reach other sites is at your own risk.

Any communication or materials you transmit to or through the Site by electronic mail or otherwise, including any data, questions, comments, suggestions, or the like are, and will be treated as, non-confidential and nonproprietary. Except as set forth in our Privacy Policy, anything that you transmit or post to or through the Site may be used by UCX for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting.

Furthermore, all information submitted to UCX through the Site shall be deemed and become the property of UCX, and UCX shall be free to use any ideas, concepts, know-how, or techniques sent to or through the Site for any purpose whatsoever including, but not limited to, developing, manufacturing, and marketing products using such information, without compensation or acknowledgment to you.

UCX may at any time revise these Terms and Conditions by updating this posting. You are bound by any such revisions and should therefore periodically visit this page to review the then current Terms and Conditions. Registration and Forms

  1. You may wish to register an account with UCX, which will give you access to certain features including but not limited to subscription content from UCX and access to online ordering.  The website contains other online forms where you may willingly give information to the UCX including Personal Information for the purposes such as contacting UCX and providing feedback.   All Personal Information collected from you will be used in accordance with UCX’s Privacy Policy which can also be found on this site.  By registering, you confirm that all registration information is current, complete, accurate, and is not misrepresentative in any way.  You agree to maintain and update UCX and the websites with the most current, complete and accurate information.  You are responsible for obtaining and continuing to maintain connectivity, software, hardware, and other equipment for use of UCX’s Websites.  UCX is in no way responsible for charges related to this equipment.
  2. UCX will have sole discretion to determine to grant you an account through this online platform and enter into a working relationship with you.  In addition, UCX has sole discretion to determine what information to accept from you through these online forms and to determine what services to grant you access to, which includes but is not limited to UCX’s online ordering system.
  3. All communications made to UCX through forms, including but not limited to feedback, messages, questions, comments are considered non-confidential and non-proprietary.   You will have no right to confidentiality in these communications and UCX will have no obligation to protect these communications from disclosure.  UCX will have the freedom to reproduce, use, disclose and distribute communications to others and can use any ideas, concepts, know-how, content or techniques contained in these communications for any purpose, including, but not limited to the development, marketing, production of products and services that pertain to such information.  More information and policies, including policies around “Personal Information” are defined in our Privacy Policy.

Placing Orders

  1. All online orders made through this website are subject to UCX’s Order Terms and Conditions which are linked here. By placing an order through this website you acknowledge that you have reviewed and agree to those terms.
  2. We are not responsible for pricing, typographical, or other errors in any offer by us and we reserve the right to cancel any orders arising from such errors. If using a credit card to make an order through our website, you represent and warrant that (i) the credit card information you supply to us is true, correct, and complete, (ii) you are duly authorized to use such credit card for the purchase, (iii) charges incurred by you will be honored by your credit card company, and (iv) you will pay charges incurred by you at the posted prices, including all applicable taxes, if any

RESPONSIBILITIES

You are responsible for maintaining the confidentiality of your account number and/or password and all other account numbers. You are responsible for all uses of your account, whether or not actually or expressly authorized by you.

Users alone are responsible for the contents of the messages they communicate when using our services and as well as the consequences of any such messages. You agree that you will not use our services for chain letters, junk mail, "spamming", or commercial solicitation or to engage in illegal activities. You represent and warrant that any material you post to or through the Site does not infringe or misappropriate any copyright, trademark, patent, publicity, privacy or other proprietary right of any person. You further agree not to use our services to send any messages or materials that are unlawful or that give rise to civil liability, including but not limited to defamatory, libelous or infringing materials or materials containing computer viruses, Trojan Horses or any other software code designed, intended or likely to cause damage to computer hardware, software or data of UCX or any third-party. You hereby consent to UCX accessing your account and records on a case-by-case basis to investigate complaints or other allegations or abuse. UCX will not disclose the existence or occurrence of such an investigation unless required by law. Violation of these terms may result in immediate deletion of a user’s account.

Information posted to or entered into any message centers, message boards, forums or bulletin boards provided on this Site are public and not private communications. Although UCX reserves the right to remove without notice any such communications for any reason, UCX has no obligation to delete content that you may find objectionable or offensive.

UCX may modify or discontinue any services provided through this Site or your account, with or without notice, without liability to you, any other user or any third-party. UCX the right to terminate your account if you have provided us with false or misleading registration information, interfered with other users or the administration of UCX services or violated these Terms and Conditions.
